Investing in Africa’s Critical Minerals Future —
With U.S. Strategic Alignment

A U.S.-domiciled private investment fund building secure, transparent, and responsible copper–cobalt supply chains between Africa and North America.

In advanced formation | Administered by IQ‑EQ USA | Independent audit by Moore Global

Who We Are

The USA–Africa Critical Metals Fund (US‑ACMF) is a U.S.-domiciled investment fund dedicated to developing secure, transparent, and strategically aligned copper and gold supply chains between Sub‑Saharan Africa and North America.

The fund is administered by IQ‑EQ USA (final office selection pending) with independent auditing by Moore Global.

Our Purpose

To bridge U.S. strategic mineral demand with Africa’s world‑class geological endowment — while ensuring responsible development, transparent governance, and long-term economic value for host nations.

Our Mission

The USA–Africa Critical Metals Fund (US‑ACMF) is a U.S. registered investment vehicle designed to mobilize institutional capital into high‑quality copper and gold assets across Sub‑Saharan Africa.

We operate in full alignment with the 2025 U.S.–DRC Strategic Partnership Agreement, enabling:

  • secure, long‑term access to critical minerals for U.S. industry
  • transparent, traceable, ESG‑aligned production
  • investment into strategic African mining corridors
  • participation in SAR and QSP‑eligible projects under the SPA
  • responsible mining practices
  • beneficiation and local value addition
  • infrastructure and corridor development

This positions US‑ACMF as a preferred partner for U.S. buyers, OEMs, and government agencies.

Africa's Great Resource Corridors

Discovering Opportunity Across Africa's Great Mining Frontiers

Africa hosts some of the most remarkable mineral provinces on Earth.

From the ancient goldfields that helped build the kingdoms of Southern Africa to the copper-rich savannahs of Zambia and the Democratic Republic of Congo, these regions have supplied metals that shaped global civilization for more than a century.

Today, they are once again becoming strategically important as the world seeks secure supplies of copper, cobalt, gold and other critical minerals essential for electrification, advanced manufacturing and national security.

US-ACMF provides investors with access to these opportunities through a disciplined, institutional platform focused on responsible development, transparency and long-term value creation.

Explore the Region

Zambia – The Heart of Africa's Copperbelt

The Zambian Copperbelt is one of the world's great mineral provinces.

Stretching along the northern frontier of Zambia, this region hosts some of the largest copper deposits ever discovered. Copper mining has shaped local communities for nearly a century and remains the backbone of the country's economy.

Interesting fact:

The Copperbelt contains some ore bodies that can be traced for hundreds of kilometres across Zambia and the DRC, forming one of the largest contiguous mineral systems on Earth.

Democratic Republic of Congo – A Geological Giant

The DRC contains an extraordinary concentration of strategic minerals.

Its copper and cobalt deposits helped supply the industrial revolution and today play a critical role in electric vehicles, battery manufacturing and advanced technologies.

Interesting fact:

The Central African Copperbelt is estimated to contain more than half of the world's known cobalt reserves.

South Africa – The World's Historic Gold Capital

For more than a century South Africa has been synonymous with gold.

The discovery of gold on the Witwatersrand transformed Johannesburg from a small settlement into Africa's largest economic centre.

Interesting fact:

The Witwatersrand Basin has produced more gold than any other geological formation in history.

Our Operating Platform

All assets are acquired and operated through NetZerO Minerals & Energy, a Mauritius‑domiciled holding company with subsidiaries in South Africa, Zambia, and the DRC.

NetZerO integrates:

  • on‑site processing
  • clean energy
  • digital traceability
  • ASM transformation
  • the Cobalt Reserve Trust (CRT)
  • responsible sourcing compliance
  • operational oversight

This structure ensures regulatory clarity, investor protection, and alignment with U.S. and African legal frameworks.

What We Invest In

Our Geographic Focus

  • South Africa — long-life gold assets with SAMREC-compliant resources
  • Zambia — copper expansions and tailings recovery
  • Democratic Republic of the Congo — SAR/QSP‑aligned copper and cobalt assets
  • Future Expansion — Sub‑Saharan Africa, aligned with U.S. strategic interests

Copper

Large-scale tailings recovery, brownfield expansions, and new strategic assets in Zambia and the DRC — building toward 500,000 tons per year of copper production by 2035.

Gold

Joint ventures and acquisitions of past-producing South African mines with ~30Moz SAMREC-compliant resources, targeting 500,000 oz/year from 2035.

Why US‑ACMF

Five Decades of African Mining Experience

For over 50+ years, Jan King and his team have built relationships across Africa's mining sector, identifying, evaluating, financing, and developing resource opportunities across multiple jurisdictions.

Unlike many recent entrants to the critical minerals sector, USACMF combines:

  • Deep geological and technical expertise
  • Extensive local networks
  • Long-standing government relationships
  • Experience operating in complex jurisdictions
  • On-the-ground execution capability

This experience enables the team to identify opportunities before they become broadly marketed and to navigate the practical realities of developing projects in Africa.

Local Presence Matters

Many international investors approach Africa from New York, London, or Toronto. USACMF's model is built around local knowledge and long-term relationships.

The team's network includes:

  • Government officials
  • Mining regulators
  • Geological experts
  • Local business leaders
  • Traditional authorities
  • Community stakeholders

These relationships help reduce execution risk, improve project access, and support responsible long-term development.

Our ESG Philosophy

US‑ACMF integrates ESG into the core of its investment and operational model — not as a reporting obligation, but as a structural advantage.

Our ESG framework is built on:

    • US-ACMF principles
    • OECD Due Diligence Guidance
    • EU Battery Regulation
    • Responsible Minerals Initiative (RMI)
    • U.S.–DRC SPA requirements for transparency and governance

    Environmental Stewardship

    We prioritize:

    • tailings recovery over new mining
    • hydropower and clean energy integration
    • ammonia-based leaching and low-impact processing
    • environmental rehabilitation
    • water management and pollution control
    • drone-based monitoring and digital environmental reporting

    Social Impact

    Our investments support:

    • formalization and upliftment of ASM communities
    • safer working conditions
    • community infrastructure (energy, clinics, water, schools)
    • long-term employment and skills development
    • transparent, fair-value mineral markets

Governance

We implement:

  • independent custody through the Cobalt Reserve Trust (CRT)
  • immutable digital traceability
  • transparent chain-of-custody
  • third-party audits (Moore Global)
  • IQ‑EQ fund administration
  • anti-corruption and anti-smuggling controls
  • compliance with SPA governance and reporting requirements

ESG as a Competitive Advantage

Our ESG architecture is not a cost — it is the foundation that enables:

  • U.S. government procurement
  • OEM offtake agreements
  • institutional capital participation
  • SAR/QSP eligibility
  • premium pricing for verified minerals

Beyond Mining

Beyond the Resource

Every investment region has its own story.

The wildlife of the Zambezi Basin.

The ancient kingdoms of Central Africa.

The cultural traditions of the Copperbelt.

The engineering heritage of South Africa's goldfields.

As US-ACMF develops projects across the continent, we aim to share not only the investment opportunity, but also the landscapes, communities and history that make these regions unique.

Through field updates, exploration stories, drone imagery and project reports, investors will be able to follow the evolution of some of Africa's most important mineral districts.
